    Welcome to Frontdesk AI Studio. These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "Client") and Frontdesk AI Studio LLC, a Florida limited liability company ("Frontdesk AI Studio," "we," "us," or "our"), regarding your use of our website at frontdeskaistudio.com (the "Site") and our services (the "Services").

    By using the Site or signing up for any of our Services, you agree to these Terms. If you do not agree, do not use the Site or the Services.


    1. Who we are

    Frontdesk AI Studio LLC builds AI receptionists, AI chat agents, and conversion-grade websites for service businesses. Our registered office is 3659 SW 99 Avenue #8, Miami, FL 33165, USA. You can reach us at hello@frontdeskaistudio.com.


    2. The Services

    2.1 What we provide

    We offer the following Services, individually or in combination:

    • Web Presence: a conversion-grade website built on HighLevel (LeadConnector), including lead capture forms, embedded booking calendar, hosting, and monthly maintenance
    • AI Chat: an AI chatbot trained on your business that captures and qualifies leads 24/7
    • AI Voice: an AI phone receptionist that answers calls, books appointments, and texts back missed calls
    • Bundles: combinations of the above (Web + Chat, Web + Voice, The Full Stack)
    • Add-ons: Reputation & Reach, LSA Management, Voice Cloning, Marketing Consultation, Premium Automations
    • Strategy Calls: one-on-one consultations to scope your build

    The specific scope of your engagement is described in the order form or service agreement you sign with us.

    2.2 What we don't provide

    We are not a law firm, accounting firm, medical practice, or licensed professional service. The Services do not constitute legal, financial, medical, or other professional advice. Our AI agents are tools to support your business operations, not substitutes for licensed professional judgment.


    3. Setup fees, monthly fees, and billing

    3.1 Setup fees

    Setup fees are one-time charges, billed at signup, that cover the initial discovery, build, configuration, and launch of your Services. Setup fees are non-refundable once we begin work, because the labor is performed up front.

    3.2 Monthly fees

    Monthly fees are recurring subscription charges, billed monthly in advance, that cover ongoing access to the Services, hosting, maintenance, support, and platform costs.

    3.3 Voice minutes and fair use

    AI Voice plans include a monthly allotment of voice minutes (currently 750 minutes per month, subject to change). If your usage consistently exceeds the included allotment, we will discuss a higher tier with you in advance — we will not surprise-bill you. Telephony pass-through costs (carrier fees, premium-rate numbers) may be invoiced separately at our cost.

    3.4 Add-ons and overage

    Add-on services and usage in excess of your plan limits are billed separately. We will notify you before charging any usage-based fees that exceed your subscription.

    3.5 Payment processing

    Self-serve products are processed by Stripe. By providing your payment information, you authorize us to charge your payment method for all applicable fees. You agree to keep your payment information current.

    3.6 Late payment

    If a payment fails or is more than 14 days late, we may suspend the Services until payment is brought current. We may also charge a late fee of 1.5% per month on past-due amounts, to the maximum extent permitted by law.


    4. Term, renewal, and cancellation

    4.1 Month-to-month

    Unless otherwise specified in a separate written agreement, our Services are provided on a month-to-month basis. Your subscription automatically renews each month for the same fee.

    4.2 Cancellation by you

    You may cancel anytime by giving us 30 days' written notice to hello@frontdeskaistudio.com. Cancellation takes effect at the end of the current billing month plus the 30-day notice period. Setup fees are non-refundable. Monthly fees paid for the current billing period are non-refundable.

    4.3 Suspension or termination by us

    We may suspend or terminate your access to the Services for:

    • Failure to pay fees when due
    • Material breach of these Terms
    • Use of the Services to violate applicable law, send spam, harass others, or harm our infrastructure or reputation
    • Bankruptcy, insolvency, or business dissolution

    We will give you reasonable notice of suspension or termination where practicable.

    4.4 Founding Client Program

    If you have been admitted to our Founding Client Program, the terms of your Founding Client agreement (including grandfathered pricing, setup fee waivers, and reciprocity commitments) supplement these Terms. In any conflict between the Founding Client agreement and these Terms, the Founding Client agreement controls for the specific matter covered.


    5. Your responsibilities

    You agree to:

    • Provide accurate, complete, and current information about your business, services, hours, and policies, so we can configure your AI agents correctly
    • Approve build deliverables in a timely manner during the 14-day build window
    • Comply with all applicable laws, including telephone consumer protection (TCPA), anti-spam (CAN-SPAM), and any industry-specific regulations affecting your business (such as HIPAA for healthcare, FCRA for credit-related communications, or state-level call-recording consent laws)
    • Honor opt-out and unsubscribe requests from your customers
    • Not use the Services to send unsolicited bulk messages, conduct fraud, harass, defame, or violate the rights of others
    • Not attempt to reverse-engineer, decompile, or circumvent technical limitations of the Services
    • Keep your account credentials secure

    You acknowledge that you — not Frontdesk AI Studio — are responsible for how your AI agents interact with your customers. We provide the tools and the configuration; you set the business policies and bear responsibility for the communications your business sends.


    6. Intellectual property

    6.1 Our IP

    We own and retain all rights to the Site, the Services, our proprietary methodologies (including the "Front Desk Operating System"), our brand assets, our software configurations, and any related documentation. Nothing in these Terms transfers ownership of our IP to you.

    6.2 Your IP

    You own and retain all rights to your business information, your brand assets, the content you provide to us (including the inputs to your AI agents), and the conversations your AI agents conduct with your customers. You grant us a limited, non-exclusive license to use your information and content for the sole purpose of providing the Services to you.

    6.3 Output of the AI agents

    The chat transcripts, call recordings, and other outputs generated by your AI agents through interaction with your customers belong to you. We do not claim ownership of this output.

    6.4 Aggregate and anonymized data

    We may use aggregate, anonymized data from the Services (data that does not identify you, your business, or any individual) to improve the Services, develop new features, and create reports. This use does not require additional consent.

    6.5 Case studies and testimonials

    If you have voluntarily provided a testimonial, case study, or video review (including as part of the Founding Client Program), we may use your name, business name, logo, and the content you provided in our marketing materials. You can revoke this permission anytime by writing to hello@frontdeskaistudio.com.


    7. Third-party services

    The Services integrate with third-party platforms, including HighLevel, Twilio, Stripe, Anthropic, ElevenLabs, and Make.com (see our Privacy Policy for the current list). Your use of those platforms is governed by their respective terms. We are not responsible for the availability, performance, security, or actions of third-party services. If a third-party service we depend on becomes unavailable, we will make reasonable efforts to maintain continuity but cannot guarantee uninterrupted Service.


    8. SMS, voice, and telephone regulations

    When we configure your AI Voice or SMS workflows, we will register them with the appropriate carrier programs (including A2P 10DLC). Carrier registration is a prerequisite for SMS delivery and may take 1–4 weeks to approve. We do not guarantee approval — that decision rests with the carriers.

    You are responsible for ensuring that:

    • The phone numbers you collect have given valid consent to receive your messages
    • Your business operations comply with TCPA, CAN-SPAM, state telemarketing laws, and any industry-specific rules
    • You honor STOP and unsubscribe requests promptly
    • Your AI Voice consent disclosures are appropriate for the jurisdictions in which your callers reside (Florida is a two-party consent state for call recordings)

    We will help you configure the Services to meet these requirements, but compliance ultimately rests with you as the business owner.

    8.1 SMS Messaging Program Terms

    Frontdesk AI Studio LLC operates an SMS messaging program. Messages may include non-marketing communications such as appointment reminders, audit delivery, and account notifications, and — if you separately opt in — marketing and promotional messages including special offers, discounts, and service updates.

    Message frequency varies. Message and data rates may apply.

    You must be at least 18 years of age to enroll in our SMS program.

    Carriers are not liable for delayed or undelivered messages. Reply STOP to opt out at any time. Reply HELP for assistance. Supported carriers include AT&T, T-Mobile, Verizon, and most other major U.S. carriers.


    9. Service availability and disclaimers

    9.1 As-is

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

    9.2 No guarantee of business results

    We work hard to build effective AI agents and conversion-grade websites, but we do not guarantee any specific business outcome — including any specific number of leads, calls, conversions, appointments, revenue, or ROI. The performance of the Services depends on many factors, including your offer, your market, your follow-up process, and your willingness to refine the AI configuration over time.

    9.3 AI behavior disclaimer

    AI agents may occasionally produce unexpected, inaccurate, or contextually inappropriate responses. We tune our agents to reduce these incidents but cannot eliminate them. You acknowledge that you have reviewed the AI's configuration before launch and remain responsible for monitoring its performance.


    10. Limitation of liability

    TO THE FULLEST EXTENT PERMITTED BY LAW:

    • IN NO EVENT WILL FRONTDESK AI STUDIO LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    • OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.


    11. Indemnification

    You agree to defend, indemnify, and hold harmless Frontdesk AI Studio LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

    • Your use of the Services
    • Your violation of these Terms
    • Your violation of any applicable law or third-party rights (including TCPA, HIPAA, or call-recording consent laws)
    • The content of your AI agents' communications with your customers
    • The accuracy of the information you provide to us

    12. Confidentiality

    Each party agrees to keep the other's non-public business information confidential and to use it only for the purposes of the engagement. This obligation survives termination of these Terms. It does not apply to information that is publicly known, independently developed, or required to be disclosed by law.


    13. Governing law and disputes

    These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

    13.1 Informal resolution

    Before filing any formal claim, you agree to contact us at hello@frontdeskaistudio.com and try to resolve the dispute informally for at least 30 days.

    13.2 No class actions

    You agree that any dispute will be resolved on an individual basis, and not as part of a class action, collective action, or representative proceeding, to the maximum extent permitted by law.


    14. Changes to these Terms

    We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Site. Your continued use of the Site or Services after the update constitutes acceptance of the new Terms.


    15. General

    15.1 Entire agreement

    These Terms, together with our Privacy Policy and any order form or service agreement you sign with us, constitute the entire agreement between you and us regarding the Services.

    15.2 No assignment

    You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

    15.3 Waiver

    Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

    15.4 Severability

    If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

    15.5 Force majeure

    Neither party is liable for failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, government action, labor disputes, or major third-party service outages.
